1 Definitions

• "Service" means the InfoClip web application and all related features.
• "Company", "we", "us", "our" means Apex Info Systems.
• "User", "you" means any individual or entity with a registered account.
• "Content" means any files, documents, text, or data you upload to the Service.
• "Recipient" means any person you share Content with via the Service.

2 Eligibility

You must be at least 18 years old to register and use InfoClip. By accepting these Terms, you confirm that all information you provide during registration is accurate, current, and complete. You are responsible for keeping your account information up to date.

3 Account Registration & Security

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying us immediately at support@apexinfosystems.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that we believe have been compromised or are being used fraudulently.

4 Use of the Service

4.1 Permitted Use

InfoClip is designed to help individuals and organizations securely store, organize, categorize, and share documents. You may use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Activities

You agree not to:

• Upload, share, or distribute any Content that is unlawful, defamatory, obscene, harmful, or violates third-party intellectual property rights.
• Use the Service to transmit unsolicited communications (spam).
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the platform.
• Use automated scripts, bots, or crawlers without prior written consent.
• Share account credentials with any third party.

5 Document Storage & Sharing

• You retain full ownership of all Content you upload.
• You grant Apex Info Systems a limited, non-exclusive license to store, display, and transmit your Content solely as necessary to provide the Service.
• When you share a document with a Recipient, you are solely responsible for ensuring you have the right to share that Content.
• Password-protected sharing is provided as a convenience feature; you are responsible for securely communicating share passwords to intended Recipients.
• We do not access or read your documents except as required to maintain and operate the Service or comply with legal obligations.

6 Intellectual Property

All trademarks, logos, software, and user interface elements of InfoClip are the exclusive property of Apex Info Systems and are protected under applicable intellectual property laws. Nothing in these Terms grants you any right to use our name, trademarks, or branding without prior written consent.

7 Availability & Service Changes

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. We will not be liable for any interruption of service beyond our reasonable control.

8 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or free from viruses.

9 Limitation of Liability

To the fullest extent permitted by law, Apex Info Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

10 Termination

We may suspend or terminate your account at any time if you breach these Terms. You may also close your account by contacting us. Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or our backup retention schedule, as described in our Privacy Policy.

11 Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

12 Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top and notify registered users by email. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
